1. Acceptance of Terms

These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “User”) and One Route PTE. LTD. (“One Route,” “we,” “us,” or “our”), a company incorporated in Singapore.

By accessing, registering for, purchasing credits for, or using the One Route website, platform, APIs, or related services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of the Service

One Route provides an AI routing and aggregation platform that enables users to access and use third-party artificial intelligence and machine learning models, including text and multimodal models, through a unified interface and/or API.

You may submit prompts, text, files, images, or other content (“Inputs”) and receive model-generated responses, results, or other materials (“Outputs”) generated by third-party model providers accessed through the Service.

3. Eligibility and Accounts

3.1 Age Requirements

You must be at least 13 years old to use the Service. If you are under 18 years old or under the age of legal majority in your jurisdiction, you may use the Service only with the permission of a parent or legal guardian.

3.2 Account Registration

You may be required to create an account to use some or all of the Service. You agree to provide accurate, current, and complete information and to keep your information updated.

3.3 Account Security

You are responsible for safeguarding your login credentials, API keys, and other authentication credentials. You are responsible for all activities that occur under your account, including any use by unauthorized persons if caused by your failure to maintain the confidentiality or security of your credentials.

3.4 No Account Sharing; No Resale

Unless expressly authorized by us in writing, you may not:

• share your account or API credentials outside your own authorized use;
• resell, sublicense, lease, or commercially redistribute access to the Service;
• use the Service on a white-label, bureau, or proxy basis for third parties;
• circumvent any account, billing, usage, or rate-limit restrictions.

4. Billing, Credits, and Payments

4.1 Prepaid Credits

For developer plans, the Service operates on a prepaid credits basis unless otherwise expressly stated. You must maintain sufficient credits or account balance to use paid features of the Service.

4.2 Credit Purchases

You may purchase credits through the payment methods we make available. All pricing, conversion logic, usage rates, and eligible payment methods may be updated by us from time to time.

4.3 Auto Top-Up

If we offer auto top-up functionality and you enable it, you authorize us and our payment processor to automatically charge your selected payment method when your balance falls below a designated threshold or according to the settings you choose. You are responsible for keeping your payment information current.

4.4 Credit Expiration

Unless otherwise stated in writing, paid credits may expire twelve (12) months after purchase.

Promotional, bonus, trial, or complimentary credits may be subject to different conditions, including shorter validity periods, restricted use cases, non-transferability, and earlier expiration. We may determine the order in which different types of credits are applied or consumed.

4.5 Fees and Taxes

You are responsible for all applicable taxes, levies, duties, or similar governmental assessments associated with your use of the Service, excluding taxes based on our net income.

For certain production, commercial, or enterprise offerings, we may apply additional platform, routing, support, or service fees as specified on the Service or in a separate written agreement.

4.6 No Refunds

Except where required by applicable law, all purchases are final and non-refundable. We do not provide refunds or credits for unused balances, partial usage, promotional credits, account suspensions for cause, or service interruptions, unless we expressly agree otherwise in writing.

4.7 Payment Disputes, Chargebacks, and Fraud

If any payment is reversed, charged back, disputed, declined, refunded by the payment provider, or reasonably suspected by us to be fraudulent or unauthorized, we may, without limiting any other rights or remedies:

• suspend or terminate your account and access to the Service;
• revoke, cancel, or offset associated credits or balances;
• recover amounts owed to us;
• require you to use an alternative payment method before restoring access;
• permanently restrict future purchases or use of the Service.
• You remain responsible for all amounts validly incurred through your account.

5. Inputs, Outputs, and Content

5.1 Your Inputs

As between you and One Route, you retain any rights you may have in the Inputs you submit to the Service.

You grant One Route a limited, non-exclusive, revocable, and transient right to process your Inputs solely as necessary to provide, operate, maintain, secure, and support the Service.

5.2 Outputs

As between you and One Route, and subject to applicable law and any applicable third-party provider terms, we claim no ownership in Outputs generated for you through the Service.

You acknowledge that:

• Outputs may not be unique;
• the same or similar Outputs may be generated for other users;
• the availability, quality, and permitted use of Outputs may depend on the rules of the underlying model provider.

5.3 Your Responsibility for Inputs and Outputs

You are solely responsible for:

• your Inputs;
• your use of Outputs;
• evaluating the accuracy, legality, safety, and appropriateness of any Output before relying on, publishing, sharing, or commercially using it.
• You must ensure that you have all necessary rights, permissions, and lawful bases to submit Inputs to the Service and to use Outputs as intended.

6. Acceptable Use Policy

You must not misuse the Service. Without limiting any other restrictions in these Terms, you agree not to use the Service to:

• violate any applicable law or regulation;
• infringe or misappropriate the rights of others, including intellectual property, privacy, publicity, or confidentiality rights;
• generate, distribute, or facilitate illegal, fraudulent, abusive, harassing, defamatory, or malicious content;
• bypass, disable, interfere with, or circumvent safety systems, content controls, billing systems, rate limits, or security protections;
• probe, scan, reverse engineer, benchmark, overload, or disrupt the Service in a manner that harms us, other users, or third-party providers;
• use the Service in connection with malware, phishing, spam, credential stuffing, scraping abuse, or denial-of-service activity;
• resell, sublicense, rent, transfer, or provide unauthorized third-party access to the Service;
• use the Service, Outputs, or data obtained through the Service to develop, train, fine-tune, distill, or improve any machine learning or artificial intelligence model where such use is prohibited by these Terms, applicable law, or the terms of any underlying provider;
• use the Service for high-risk use cases, including medical diagnosis or treatment, legal advice, financial advice, employment decisions, biometric identification, facial recognition, weapons-related purposes, unlawful surveillance, or political manipulation;
• submit Inputs or use Outputs in ways that violate the policies or restrictions of any underlying third-party model or service provider.
• We may, but are not obligated to, investigate suspected violations and take any action we consider appropriate, including suspending or terminating access, removing content where applicable, revoking credits, and reporting conduct to relevant authorities or providers.

7. Third-Party Providers and Provider Policies

The Service depends on third-party providers, including model providers, infrastructure providers, authentication providers, and payment processors.

Your use of certain models or features may be subject to additional third-party terms, policies, usage restrictions, or technical limitations. You are responsible for complying with any such terms and restrictions applicable to the models or services you access through One Route.

We are not responsible for the acts, omissions, model behavior, availability, pricing changes, policy changes, or content moderation decisions of third-party providers.

8. Service Availability, Changes, and No SLA for Developer Plans

For developer plans, the Service is provided on an as available basis. Developer plans are self-serve and do not include any service level agreement, dedicated support commitment, or guaranteed availability unless expressly stated otherwise in writing. We do not guarantee uninterrupted availability, uptime, response times, model availability, throughput, or compatibility.

Models, features, prices, usage rules, rate limits, routing logic, integrations, and supported providers may be added, removed, modified, rate-limited, suspended, or discontinued by us or by third-party providers at any time.

We may also modify or discontinue any part of the Service for business, legal, compliance, technical, or security reasons.

If you are subject to a separate written agreement with us for production or enterprise services, any applicable service levels, support commitments, or commercial terms in that agreement will control to the extent of any conflict with these Terms.

9. AI-Specific Disclaimers

Artificial intelligence and machine learning are probabilistic and rapidly evolving technologies. Outputs may be inaccurate, incomplete, misleading, biased, offensive, non-unique, or otherwise unsuitable for your intended purpose.

You acknowledge and agree that:

• One Route does not verify or endorse any Output;
• Outputs do not constitute professional advice of any kind;
• you must not rely on Outputs without appropriate independent review, verification, and human judgment.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, ALL OUTPUTS, AND ALL RELATED CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

ONE ROUTE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONE ROUTE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONE ROUTE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO ONE ROUTE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• USD 100 (OR THE EQUIVALENT AMOUNT IN LOCAL CURRENCY).
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless One Route and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• your use or misuse of the Service;
• your Inputs or your use of Outputs;
• your violation of these Terms;
• your violation of applicable law or the rights of any third party.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, with or without prior notice, if we reasonably determine that:

• you have breached these Terms or any applicable policy;
• your use poses legal, compliance, technical, reputational, or security risk;
• you have engaged in fraud, payment abuse, chargebacks, misuse, or unauthorized activity;
• we are required to do so by law, regulation, court order, or third-party provider requirements;
• continued provision of the Service is no longer commercially, technically, or legally feasible.
• If your account is suspended or terminated for cause, we may revoke or forfeit unused credits or balances to the extent permitted by applicable law.
• We may also discontinue the Service or any portion of it for business, legal, or technical reasons. Where reasonably practicable, we may provide notice for material discontinuation not caused by your breach.

14. Separate Agreements for Production and Enterprise Services

If you or your organization enter into a separate written agreement, order form, master services agreement, or other commercial agreement with One Route for production, commercial, or enterprise services, that agreement will control to the extent of any conflict with these Terms.

15. Governing Law and Jurisdiction

These Terms and any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be governed by the laws of Singapore, without regard to conflict of law principles.

Subject to applicable law, the courts of Singapore shall have exclusive jurisdiction over any dispute, controversy, or claim arising out of or relating to these Terms or the Service.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we may provide notice by updating the “Last Updated” date, posting a notice on the Service, or using other reasonable means.

Your continued access to or use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.
